Terms of Service
These Terms of Service (“Terms”) govern your use of the Briefd mobile application and website at briefdapp.com.au (together, the “Service”), operated by BRIEFD APP PTY LTD, a company registered in Queensland, Australia (“Briefd”, “we”, “us”, or “our”). Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, please do not use the Service.
If you are using the Service on behalf of a business (for example, as a brand), you confirm that you have the authority to bind that business to these Terms.
2. Eligibility & Accounts
You must be at least 18 years old to create an account or use the Service. By using the Service, you confirm that you meet this requirement.
You agree to provide accurate, current and complete information when creating your account, and to keep that information up to date. You are responsible for maintaining the security of your account and password, and for all activity that occurs under your account. Notify us immediately at hello@briefdapp.com.au if you believe your account has been compromised.
Each person or business may hold one account per account type. The Service supports two account types:
- Creator accounts — for individuals who create content and apply to or are matched with brand briefs
- Brand accounts — for businesses that post briefs and collaborate with creators
We may suspend or terminate accounts that provide false information, impersonate another person or business, or are created by anyone under 18.
3. The Briefd Platform
Briefd is a marketplace that connects brands with creators for content collaborations. We provide the tools for brands and creators to find each other, communicate, agree on a collaboration, and exchange payment for completed work.
Briefd is an intermediary, not a party to the collaboration itself. The agreement to produce and deliver content, and the terms of that collaboration (scope, deliverables, timelines, usage rights beyond what's set out in these Terms), is between the brand and the creator. Briefd does not employ creators, does not direct how creators produce content, and is not responsible for the quality, timeliness, or outcome of any collaboration between a brand and a creator.
We do our best to help brands and creators find good matches and resolve issues that arise, but we do not guarantee that any brief will be filled, that any collaboration will be completed, or that either party will be satisfied with the outcome.
4. Subscriptions
Certain features of the Service require a paid subscription:
- Briefd Verified (creators) — unlocks priority placement, product-collaboration briefs, and the ability to apply directly to briefs
- Brand Activation (brands) — unlocks the ability to post briefs and access the creator marketplace
Subscriptions automatically renew for the same billing period (monthly or annual, as selected) unless cancelled before the end of the current billing period. You will be charged to the payment method on file at the start of each billing period. Where a free trial is offered, your payment method will not be charged until the trial ends, and you will be charged automatically at the then-current price unless you cancel before the trial ends.
You can cancel your subscription at any time from within the app (Settings → Manage your verification / Manage your account) or the desktop dashboard. Cancelling stops future renewals; you keep access to subscription features until the end of the billing period you've already paid for. If you subscribed or are otherwise billed through your Apple ID, your subscription is managed through your Apple ID account settings, and cancellation must be made there in accordance with Apple's policies.
We may change subscription pricing or included features from time to time. We'll give you reasonable notice of any price increase before it applies to your next renewal.
5. Payments & Escrow
Paid collaborations between brands and creators are processed through Briefd using Stripe as our payment processor. When a brand agrees a paid collaboration with a creator, the agreed amount is charged to the brand and held in escrow by Briefd until the content is delivered and approved.
Once a brand approves delivered content (or confirms a creator has posted content as agreed), the held funds are released in full to the creator. Briefd does not charge a fee on collaboration payments — the entire agreed amount goes to the creator. Briefd facilitates this payment flow but is not a party to the underlying collaboration agreement between the brand and creator, and does not guarantee that either party will perform their side of that agreement.
If a dispute arises over a collaboration (for example, non-delivery or delivery that doesn't match what was agreed), contact us at hello@briefdapp.com.au or use the in-app “Report an issue” option. We'll review the collaboration and do our best to help resolve it, but we are not obligated to issue a refund or release of escrowed funds in any particular outcome, and our decision on disputed escrow funds is final.
Creator payouts are processed through Stripe Connect. You are responsible for providing accurate payout details and for any tax obligations arising from payments you receive through the Service.
6. Content & Intellectual Property
Creators retain ownership of the content they create. Any additional rights a brand needs to use that content (for example, running it as an ad, or using it beyond what's shown on the creator's own social channels) are a matter for the brand and creator to agree as part of their collaboration — Briefd does not set or enforce content licensing terms between brands and creators.
By uploading content to the Service (profile photos, intro reels, portfolio content, brand logos, brief materials, messages), you grant Briefd a limited, non-exclusive licence to host, store, and display that content on the Service for the purpose of operating the platform — matching creators with briefs, displaying profiles, and showing collaboration history.
You must not upload content that infringes someone else's intellectual property, is illegal, or that you don't have the right to share. We may remove content that violates these Terms.
7. Prohibited Conduct
You agree not to:
- Provide false or misleading information, or create a fake or impersonated account or profile
- Harass, threaten, or abuse other users
- Attempt to circumvent the Service to arrange payment or communication outside the platform in order to bypass Briefd's escrow and payment protections
- Upload illegal, infringing, or sexually explicit content, or content involving anyone under 18
- Send spam or unsolicited commercial messages through the Service
- Scrape, reverse-engineer, or use automated tools to access the Service beyond normal use
- Interfere with the security or normal operation of the Service
We may suspend or terminate accounts that engage in prohibited conduct.
8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any brief, application, or collaboration will lead to a particular outcome.
Briefd is not responsible for the conduct, content, or performance of any user, including any brand's or creator's failure to honour a collaboration agreed through the Service.
9. Limitation of Liability
To the maximum extent permitted by law, Briefd and its officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service.
To the maximum extent permitted by law, Briefd's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid to Briefd (excluding amounts held in escrow for a collaboration, which are governed by Section 5) in the 12 months before the claim arose.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law (or any other law) that cannot lawfully be excluded, restricted or modified. Where our liability for a failure to comply with a non-excludable guarantee cannot be excluded but can be limited, our liability is limited to the maximum extent the law allows.
10. Termination
You may stop using the Service and delete your account at any time. In the app, you can delete your account from Settings — this permanently deletes your account, profile and associated data, and cannot be undone. Account deletion is blocked while you have an active collaboration or funds held in escrow, so that collaboration can be resolved first.
We may suspend or terminate your account if you breach these Terms, or if we reasonably believe your account poses a risk to the Service or other users. Where reasonably possible, we'll give you notice before doing so.
Sections of these Terms that by their nature should survive termination (including Sections 5, 8, 9 and 12) will continue to apply after your account is terminated or deleted.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law principles. You and Briefd agree to submit to the exclusive jurisdiction of the courts of Queensland, Australia for any dispute arising out of or relating to these Terms or the Service, except where applicable consumer protection law requires otherwise.
13. App Store Terms
If you downloaded the app from Apple's App Store, you acknowledge the following in addition to the rest of these Terms:
- These Terms are between you and Briefd only, not with Apple, and Apple is not responsible for the Service or its content.
- Apple has no obligation to provide maintenance or support for the Service.
- In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund any applicable purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service.
- Apple is not responsible for addressing any claims relating to the Service, including product liability claims, claims that the Service fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
- Apple is not responsible for investigating, defending, settling or discharging any third-party claim that the Service or your possession and use of it infringes a third party's intellectual property rights.
- You represent that you are not located in a country subject to a US government embargo or designated as a “terrorist supporting” country, and are not on any US government list of prohibited or restricted parties.
- Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
